All the sales contracts for our products are governed by the following general sales conditions that are an integral and substantial part of each proposal, order and purchase order confirmation of our products. Exceptions or supplementary conditions of the customer are valid only if expressly confirmed in writing by Seipee S.p.A. Orders Any purchase order passed on to Seipee S.p.A. must be completed in all its parts and must contain all the information required to identify clearly the products ordered. Any order passed on to Seipee S.p.A. constitutes a contractual offer by the Customer and shall be binding on Seipee S.p.A. only if acceptance has been confirmed by Seipee S.p.A. in writing. After eight days from receipt of our order confirmation, the contract shall be deemed to have been completed in conformity to the contents of the order confirmation and to the features of the goods indicated in these General Sales Conditions. If after the order has been confirmed the Vendor learns of protests and in general of unfavourable reports relating to the Purchaser or if the Purchaser has fallen into arrears with orders already dispatched by Seipee S.p.A., Seipee S.p.A. shall be entitled to suspend performance of the contract and demand specific guarantees or change the terms of payment or terminate the contract on the grounds of non-performance by the Purchaser in accordance with and pursuant to article 1456 of the Italian Civil Code, notice being served on the Purchaser by registered letter with advice of delivery or by telegram. Delivery: The deadlines set by Seipee S.p.A. for delivery following the order confirmation are not binding, but subject to manufacturing possibilities and force majeure events that are beyond our control. Delays cannot entitle the Purchaser to cancel the order or to claim compensation. Complaints: Upon receipt of the materials, the Purchaser must thoroughly check that they are free of defects. Any defects in the materials and errors or differences in the dimension of the products or non-compliance with the orders must be reported to Seipee S.p.A. in writing within eight days of receipt of the goods. If the defects cannot be detected by the aforesaid inspection, the defects must be reported to Seipee S.p.A. within eight days of being detected. In all cases, the return of the goods must be authorised by Seipee S.p.A. The goods subject to complaint must not have been tampered with or been processed and must remain available for possible inspections by our technicians. Goods subject to complaint and returned subject to our authorisation for repair or replacement must be delivered to our warehouses carriage free, accompanied by the necessary transport documents and the relative purchase documents, we otherwise retain the right to refuse to accept the goods and disclaim all liability. When using the products, the purchasers must strictly comply with the instructions in the use and maintenance manuals, which can be downloaded from our web site www.seipee.it. Seipee S.p.a. will not be answerable for any defects caused by use that fails to comply with these instructions. Warranty: The warranty lapses 12 MONTHS from the date of receipt of the goods unless agreed otherwise in writing. Carriage: The goods are conveyed at the customer’s risk and peril, our liability ceasing at the moment of transfer to the carrier. Price and late payments: Prices are calculated on the basis of the price list in force at the moment when the order is placed. The Vendor reserves the right to change its prices on the basis of any variations in cost. Prices are deemed to be net of packaging and carriage costs, VAT and any other indirect cost. Interest is charged on late payments at the rate set by article 5 of legislative decree D.Lgs 231/2002 Packaging: If packaging is requested or necessary it will be invoiced at the set price. Place of jurisdiction: Any dispute shall be subject to the exclusive authority of the Court of Modena.
